The SevenLeaf Cannabis Coaching Wellness Program Agreement

This Agreement is entered into on this _____     day of _______     20____ by and between SevenLeaf Cannabis Coaching and the named Certified Cannabis Coach (hereinafter referred to as “SevenLeaf Cannabis Coaching”) and the undersigned client (hereinafter referred to as “Client”).

SERVICES PROVIDED

As a part of The Program, Client will receive the following:

• 12 Coaching Sessions
  1. Sessions will consist of the Coach sharing curated information and customized coaching exercises that will accelerate Client’s results and help Client achieve breakthroughs, allowing Client to see transformation in his/her body – and his/her life. Client agrees each coaching call and session may be recorded by the Coach and the recording become part of the Coach’s Client archive session records.
  2. Client will receive twelve (12) weekly private, one-on-one coaching sessions. Each session is 45 minutes.
• Emergency Support Between Sessions
  1. Client will have access to their coach for emergency support via email between sessions on business days (Monday – Friday). Clients may expect a personal response from their coach within 24 hours or on the following business day.
• Customized Materials
  1. The Program provides Client with curated information. Client may expect information that is relevant, practical and actionable, allowing Client to avoid becoming overwhelmed and stay in action.
  2. Information will be provided in the form of done-for-you materials including, but not limited to: checklists, handouts and verbal lectures.

SCHEDULE

Each session is 45 minutes long, however, Client is required to schedule 60 minutes in their calendar in the event a session goes over. Sessions are scheduled weekly, for twelve (12) weeks during the 90-day program. Client is encouraged to schedule sessions on the same day and time each week. Client agrees to arrive to all sessions on time. All sessions will be scheduled at the time this Agreement is signed.

Client will receive one (1) “emergency reschedule” during the course of The Program. Emergency reschedule allows Client to cancel a session within 24 hours and still reschedule the session for a later date.

If Client fails to provide at least 24 hours written notice prior to cancelling a session, that session will be forfeited. Client will not be reimbursed for the forfeited session.

The Program expires, with no refund, if all sessions have not been completed within 30 days after the completion date specified below.

PAYMENT

The Client agrees to pay the full amount due for The Program. The Program cost is $________ USD payable in full before commencement of the first session or in pre-agreed two equal installments of N/A. First installment is due N/A, second installment is due N/A.

In the event Client withdraws from The Program or becomes absent for any reason whatsoever, Client will remain fully liable to SevenLeaf Cannabis Coaching for the entire cost associated with The Program and any unpaid balance.

CONFIDENTIALITY

All information (verbal or documented) discussed during coaching sessions, or otherwise shall be kept confidential, unless required by a court order or other legal proceeding.

TERMINATION

This Agreement will terminate automatically upon The Program End Date stated above under sub-section titled “Schedule”.

SevenLeaf Cannabis Coaching reserves the absolute right to terminate this contract early for any reason, upon written notice to Client. Client will be given at least one (1) weeks written notice, prior to an early termination. Any advance payment made by Client for sessions not rendered, will be refunded at a rate of USD $_______ per session. For example, if Client has paid a total of USD $_________ to SevenLeaf Cannabis Coaching, but received only two sessions, client will be refunded the cost associated with twelve sessions USD -_$______ (2 sessions at USD $____ each for a total refund of $_________)__.

If Client terminates this Agreement before The Program End Date, Client will be responsible for the outstanding balance. Should Client become insolvent or commit a material breach or default under the Agreement, including but not limited to failure to pay timely undisputed sums to SevenLeaf Cannabis Coaching, then SevenLeaf Cannabis Coaching may rightfully terminate this Agreement.

Except as provided to the contrary herein, those provisions of the Agreement that by their nature and context are intended to survive the termination of this Agreement, shall survive any termination of this Agreement. 

ENTIRE AGREEMENT

This Agreement represents the entire agreement between SevenLeaf Cannabis Coaching and Client regarding the services to be provided, and supersedes any prior written or oral communications, agreements or representations  as to those services.

 INDEMNIFICATION

Client agrees to defend, indemnify, and hold SevenLeaf Cannabis Coaching, its Certified Cannabis Coaches, its officers, directors, agents, and employees, harmless against all costs, expenses, and losses (including reasonable attorney fees and costs) incurred through claims of third parties against SevenLeaf Cannabis Coaching based on a breach by Client of any representation made in relation to this Agreement.

NOTICES

Any notice required to be given pursuant to this Agreement shall be in writing and mailed by certified or registered mail, return receipt requested, delivered by a national overnight express service such as Federal Express, to the address listed in the signature block of this Agreement, or by email communication with an acknowledgement by the recipient.

JURISDICTION AND VENUE

This Agreement shall be construed and interpreted in accordance with the laws of the state of Residence of the Coach (without reference to its conflict of law provisions), and with the same force and effect as if fully executed and performed therein. All disputes hereunder shall be resolved in the applicable state or federal courts of the state of Residence of the Coach. The parties consent to the jurisdiction of such courts, agree to accept service of process by mail, and waive any jurisdictional or venue defenses otherwise available.

AGREEMENT BINDING ON SUCCESSORS

This Agreement shall be binding on and shall inure to the benefit of the parties hereto, and their heirs, administrators, successors, and assigns.

WAIVER

No waiver by either party of any default shall be deemed as a waiver of any prior or subsequent default of the same or other provisions of this Agreement. Waiver by either party shall not operate or be construed as a continuing waiver.

MODIFICATION OR AMENDMENT

No amendment, change, or modification to this Agreement shall be valid unless in writing and signed by both parties.

ASSIGNABILITY

This Agreement and the rights and obligations thereunder with respect to Client are personal to Client and may not be assigned by any act of Client or by operation of law without the prior written consent of SevenLeaf Cannabis Coaching. SevenLeaf Cannabis Coaching shall have the unfettered right to assign this Agreement to any party in its sole discretion.

SEVERABILITY

If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable by a

court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other provision, so long as the balance of the Agreement can be reasonably construed in accordance with the intent of both parties at the time of signing.

HOLD HARMLESS

Client acknowledges the inherent risks involved in the type of activity for which Client is engaging services of SevenLeaf Cannabis Coaching. This includes, but is not limited to physical injury. Client further acknowledges that he/she is participating voluntarily, and that all risks have been made clear to him/her. Client affirms that he/she does not have any conditions that will increase the likelihood of experiencing injuries while participating in The Program.

By signing this Agreement, Client agrees to hold SevenLeaf Cannabis Coaching entirely free from any liability, including financial responsibility for injuries or damages incurred, regardless of whether injuries are caused by negligence. Further, Client acknowledges and takes full responsibility for his/her life and well-being, as well as the lives and well-being of his/her family (where applicable), and all decisions made during and after The Program. 

In furtherance and not in limitation of the foregoing, Client hereby and forever waives, releases and discharges SevenLeaf Cannabis Coaching, its heirs, executors, administrators, assigns, officers, agents, employees, representatives, executors and all others acting on their behalf (the “Released Parties”) from any and all claims or liabilities for injuries or damages to your person and/or property or that of your family (where applicable), including those caused by negligent act or omission of any of those mentioned or others acting on their behalf, arising out of or connected with your participation in The Program or in connection with services provided by SevenLeaf Cannabis Coaching or the Released Parties.

DISCLAIMER

CLIENT UNDERSTANDS THAT THE INFORMATION RECEIVED FROM SEVENLEAF CANNABIS COACHING IN CONNECTION WITH THE PROGRAM OR OTHERWISE SHOULD NOT BE SEEN AS MEDICAL, NURSING, NUTRITION or LEGAL ADVICE AND IS IN NO WAY MEANT TO TAKE THE PLACE OF YOU SEEING LICENSED HEALTH PROFESSIONALS, INCLUDING YOUR DOCTOR AND SEEKING YOUR OWN LEGAL COUNSEL TO IDENTIFY AND FOLLOW THE LAWS IN YOUR JURISDICTION.

Client understands and agrees that (i) SevenLeaf Cannabis Coaching is not providing health care, medical or nutrition therapy services and will not diagnose, treat or cure in any manner whatsoever, any disease, condition or other physical or mental ailment of the human body, (ii) SevenLeaf Cannabis Coaching is not acting in the capacity of a doctor, licensed dietician-nutritionist, massage therapist, psychologist or other licensed or registered professional, (iii) if Client is under the care of a health care professional or currently prescribed medications or other medical treatments, Client shall discuss any dietary or physical activity changes or potential dietary supplements with his/her doctor, and will not discontinue any prescription medications or other medical treatments without first consulting his/her medical professional; and (iv) Client has chosen to work with SevenLeaf Cannabis Coaching and participate in The Program voluntarily.

Client should maintain a relationship with his/her primary care physician or doctor.  In the event that Client does not have one and/or does not have routine physicals, Client is encouraged to seek routine medical care.  CLIENT WILL NOT DISCONTINUE OR CHANGE ANY TREATMENT PLAN THAT CLIENT MAY BE ON AS A RESULT OF HIS/HER COACHING SESSIONS WITHOUT FIRST DISCUSSING THE CHANGE WITH HIS/HER DOCTOR. 

CLIENT AGREES THAT HE/SHE HAS CAREFULLY READ, UNDERSTOOD AND AGREES TO ALL PROVISIONS OF THIS AGREEMENT, AND FURTHER, HAS HAD THE OPPORTUNITY TO DISCUSS AND REVIEW THIS AGREEMENT WITH HIS/HER ATTORNEY. SEVENLEAF CANNABIS COACHING HAS PROVIDED CLIENT WITH ANSWERS TO ANY QUESTIONS CLIENT HAD AND HAS FURTHER EXPLAINED THIS AGREEMENT TO THE COMPLETE SATISFACTION OF THE CLIENT. THE CLIENT HAS ALSO BEEN GIVEN A COPY OF THIS AGREEMENT FOR HIS/HER OWN RECORDS. THIS AGREEMENT MAY BE EXECUTED IN COUNTER PARTS.
